2. Description of Services

VibePrint USA provides professional printing, signage, and large-format production services, including but not limited to:

• Custom printing — business cards, flyers, brochures, postcards, and promotional materials
• Large-format printing — banners, posters, foam board, canvas, and fabric prints
• Signage — indoor and outdoor signs, window graphics, wall murals, and wayfinding systems
• Vehicle wraps and fleet graphics — full and partial vehicle wraps, decals, and lettering
• Trade-show and event displays — pop-up displays, table throws, backdrops, and retractable banners
• Related design and finishing services — file preparation, lamination, mounting, and installation (where offered)

We reserve the right to modify, suspend, or discontinue any service or product offering at any time without liability to you.

3. Quotes, Estimates, and Pricing

Estimated prices are based on standard materials, configurations, and production conditions. Actual pricing may differ due to factors including, but not limited to:

• Artwork complexity, file preparation requirements, or design revisions
• Material availability or substitutions
• Changes in quantity, size, or specifications after initial inquiry
• Rush or expedited production requirements
• Special finishing, mounting, or installation services
• Fluctuations in material costs or third-party service costs

All prices are quoted in U.S. dollars. Applicable sales taxes, shipping, and handling fees are not included in estimates unless explicitly stated in a written order confirmation.

4. Orders and Payment

4.1 Order Placement

An order is not accepted or binding until we issue a written order confirmation to you. By submitting an order, you represent that all information you provide is accurate and complete. We reserve the right to decline any order at our discretion.

5. Customer-Supplied Artwork and Intellectual Property

5.1 Artwork Submission

When you submit artwork, logos, images, text, or other materials ("Customer Materials") for production, you are responsible for ensuring that all files meet our current print-ready specifications (available upon request). We are not responsible for output quality resulting from files that do not meet required resolution, color mode, bleed, or format standards.

5.2 Intellectual Property Warranty

By submitting Customer Materials, you represent and warrant that:

• You own or have obtained all necessary rights, licenses, consents, and permissions to use and authorize VibePrint USA to reproduce the Customer Materials;
• The Customer Materials do not infringe or misappropriate any third-party intellectual property rights, including copyrights, trademarks, trade dress, or rights of publicity or privacy;
• The Customer Materials do not contain any unlawful, defamatory, obscene, or otherwise objectionable content.

You agree to indemnify and hold harmless VibePrint USA for any claims arising from your breach of the warranties in this Section 5. We reserve the right to decline any order that we believe, in our sole discretion, may infringe third-party rights or violate applicable law.

5.3 Our Intellectual Property

All content on the VibePrint USA website, including text, graphics, logos, images, and software, is the property of VibePrint USA or its content suppliers and is protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works from our website content without our express written permission.

6. Proofs and Color Accuracy

6.1 Digital Proofs

For applicable orders, we may provide a digital soft proof for your review and approval before production. It is your responsibility to carefully review and approve proofs for layout, spelling, grammar, colors, and overall accuracy. Once you approve a proof, we proceed to production and are not responsible for errors you approved.

7. Production Turnaround and Delivery

7.1 Turnaround Times

Stated or estimated turnaround times begin upon receipt of (a) a complete, print-ready file, (b) written order confirmation, and (c) cleared payment or deposit, whichever occurs last. Turnaround estimates are business-day estimates and are not guaranteed delivery dates. VibePrint USA is not liable for delays caused by events beyond our reasonable control, including but not limited to equipment failure, material shortages, shipping carrier delays, labor disputes, acts of God, or other force majeure events.

7.2 Rush Production

Rush or expedited production requests are subject to availability and additional charges. Rush pricing will be confirmed in writing as part of your order confirmation. Rush orders do not guarantee specific delivery times by shipping carriers.

7.3 Shipping and Risk of Loss

Risk of loss and title for products pass to you upon delivery to a common carrier for shipment. VibePrint USA is not responsible for damage, loss, or delay caused by shipping carriers. We recommend purchasing shipping insurance for high-value orders.

8. Returns, Cancellations, and Refunds

8.1 Custom Products

Because our products are custom-manufactured to your specifications, all sales are final. We do not accept returns or exchanges on custom print orders except in the case of a manufacturing defect or error caused by VibePrint USA (i.e., a material deviation from the approved proof or order specifications that is attributable to us).

8.2 Claims for Defects

If you believe your order contains a manufacturing defect attributable to us, you must notify us in writing at sales@vibeprintusa.com within [X] business days of receiving your order, and provide photographic evidence and a description of the issue. Our sole obligation upon verification of a qualifying defect is, at our election, to reprint and reship the affected portion of the order or issue a credit toward a future order. We are not responsible for defects resulting from Customer-supplied artwork, approved proofs, or specifications.

8.3 Cancellations

9. Limitation of Liability

In no event shall VibePrint USA be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, loss of data, loss of goodwill, business interruption, or the cost of substitute products, even if we have been advised of the possibility of such damages. Some jurisdictions do not allow certain limitations of liability; in such jurisdictions, our liability shall be limited to the greatest extent permitted by law.

10. Indemnification

You agree to indemnify, defend, and hold harmless VibePrint USA and its officers, directors, employees, agents, and suppliers from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of our website or services; (b) Customer Materials you submit, including any claims of intellectual property infringement; (c) your breach of these Terms or any applicable law or regulation; or (d) any product or service ordered by you and its subsequent use or distribution.

11. Disclaimer of Warranties

Except as expressly stated in these Terms, our website and services are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance. We do not warrant that the website will be uninterrupted, error-free, or free of viruses or other harmful components.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict-of-law provisions. Any dispute, claim, or controversy arising out of or relating to these Terms or our services shall be subject to the exclusive jurisdiction of the state and federal courts located in [County] County, California, and you irrevocably consent to personal jurisdiction in such courts.
